These Terms and Conditions of Service ("Agreement") are entered into by and between Aragro Inc, a Delaware C Corporation ("Aragro," "we," or "us"), and the user ("User" or "you") who agrees to the terms and conditions set forth herein.This Agreement applies to any subsidiary or affiliate of Aragro Inc.

Acceptance of Terms
By accessing or using the Aragro Farm Management Software (the "Service") through the website www.aragro.com (the "Website"), you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, please refrain from using the Service.

Description of Service
Aragro provides a Software-as-a-Service (SaaS) platform that offers farm management tools, including but not limited to crop tracking, inventory management, financial analysis, and communication features. The Service is provided "as is" and may be subject to changes, updates, or discontinuation at our sole discretion.

User Accounts
3.1. Registration and Account Security
To access certain features of the Service, you must create a user account on the Website. You agree to provide accurate and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify Aragro immediately of any unauthorized use of your account or any other breach of security.
3.2. User Responsibilities
You agree to use the Service solely for lawful purposes and in compliance with all applicable laws and regulations. You shall not engage in any activity that may disrupt or interfere with the Service, its infrastructure, or other users' experience. You are responsible for all content and data that you upload, store, or transmit through the Service and shall comply with all copyright and intellectual property laws.

Intellectual Property
Aragro retains all rights, title, and interest in and to the Service and the Website, including all intellectual property rights. You may not reproduce, modify, distribute, or create derivative works based on the Service or the Website without our prior written consent.

Our Privacy Policy, available on the Website, describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your data in accordance with our Privacy Policy.

Payment and Subscription
6.1. Pricing and Payment Obligation
The pricing for the Service, as stated in the invoice provided by Aragro Inc, shall govern the applicable fees. The invoice will outline the specific pricing details and payment terms. By using the Service, you agree to pay all fees specified in the invoice within the designated timeframe.
6.2. Subscription Renewal, Automatic Debit, and Cancellation
Subscriptions to the Service are automatically renewed and billed on a recurring basis through automatic debit to the payment method you have provided. You may cancel your subscription at any time by following the instructions available within the platform. The cancellation will take effect at the end of the current billing cycle. No refunds or credits will be issued for unused portions of a subscription period. If the automatic payment fails, a grace period of up to seven (7) calendar days will be activated. During this time, you will receive in-app notifications and alerts reminding you to update your payment method. If payment is not successfully completed within this grace period, access to your account will be temporarily suspended until the payment information is updated and the outstanding charge is successfully processed.

Limitation of Liability
7.1. Limitation of Liability
To the extent permitted by law, Aragro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or in connection with the use of the Service or the Website.
7.2. Indemnification
You agree to indemnify, defend, and hold harmless Aragro and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service

Termination
We may suspend or terminate your access to the Service at any time, with or without cause, at our sole discretion. Upon termination, you will no longer have access to your account or any data associated with it.

Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Modifications to the Agreement
Aragro reserves the right to modify or update this Agreement at any time without prior notice. Any changes to the Agreement will be effective immediately upon posting on the Website. It is your responsibility to review the Agreement periodically for any updates or modifications. Continued use of the Service after any changes to the Agreement constitutes your acceptance of the revised terms.

Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified or eliminated to the minimum extent necessary, and the remaining provisions of the Agreement shall remain in full force and effect.

Entire Agreement
This Agreement constitutes the entire agreement between Aragro and the User regarding the subject matter herein and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
